These terms of service ("Terms" or "Agreement") are a legally binding agreement between Vidgenie.ai ("Vidgenie.ai", "the Company", "we" or "us") and you ("User" or "you") and constitute the legal basis for your access and use of Vidgenie.ai's proprietary online software which assists users in creating AI-generated videos for social media platforms such as YouTube, TikTok, and Instagram Reels (the "Service").

By accessing, using, or installing our Service, you acknowledge that you have read these Terms and our Privacy Policy, which is incorporated herein by reference, as may be amended from time to time. You agree to be bound by these Terms and to fully comply with them. If you do not agree to any of the Terms, you should immediately stop using the Service.

Vidgenie.ai provides an AI-powered video generation service that allows users to create short-form and long-form videos for social media platforms. Our Service uses a combination of generative text, image, and video technologies to produce content based on user inputs and preferences.

While we strive to provide high-quality, AI-generated content, users are responsible for reviewing and ensuring the appropriateness of the generated videos for their intended use and audience.

To use the Service, you must register and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password.

We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion.

Vidgenie.ai retains all intellectual property rights in the Service, including any software, designs, graphics, and other content created by Vidgenie.ai.

You retain ownership of any content you provide to the Service (such as prompts or inputs). However, by using the Service, you grant Vidgenie.ai a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing and improving the Service.

For videos generated by the Service, you are granted a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the videos, subject to any limitations specified in your subscription plan.

Certain features of the Service may require payment of fees. We reserve the right to change our fees or billing methods at any time, provided that we will notify you before such changes become effective.

ALL SUBSCRIPTION FEES AND PAYMENTS ARE NON-REFUNDABLE. By purchasing a subscription, you acknowledge and agree that you are not entitled to a refund for any fees paid, regardless of the circumstances. This includes, but is not limited to, situations where you decide to cancel your subscription, where you are dissatisfied with the Service, or where your account is terminated due to violations of these Terms. You expressly waive any statutory or contractual right to cancel, rescind, or claim a refund for any subscription fees once paid.

Subscriptions will automatically renew unless cancelled at least 24 hours before the end of the current period. You can cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will not receive a refund for any portion of the current billing period.

By agreeing to these Terms and purchasing a subscription, you authorize us to charge your chosen payment method for the subscription fees. You are responsible for maintaining current and accurate payment information. Failure to do so may result in interruption or termination of your access to the Service.

Vidgenie offers an affiliate program that allows participants to earn commissions by referring new customers to our service. By participating in our affiliate program, you agree to abide by both these Terms of Service and the specific Affiliate Terms. In the event of any conflict between these Terms of Service and the Affiliate Terms, the Affiliate Terms shall prevail with respect to the affiliate program.

We reserve the right to modify, suspend, or terminate the affiliate program at any time without prior notice. Any changes to the affiliate program will be communicated through the Affiliate Terms page.

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Vidgenie.ai does not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service or the server that makes it available are free of viruses or other harmful components.

Vidgenie.ai makes no warranties or representations about the accuracy or completeness of the content generated by the Service and assumes no liability or responsibility for any errors, mistakes, or inaccuracies in such content.

To the fullest extent permitted by applicable law, Vidgenie.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of your transmissions or content.

In no event shall Vidgenie.ai's aggregate liability for all claims related to the Service exceed the amount paid by you to Vidgenie.ai for the past twelve months of Service or one hundred dollars ($100), whichever is greater.

You agree to indemnify, defend, and hold harmless Vidgenie.ai and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, publicity, or privacy right; or (iv) any claim that content you created using the Service caused damage to a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted by the American Arbitration Association in Seattle, Washington, in accordance with its commercial arbitration rules. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Site and/or via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
